This is because regulations require private equity funds to accept money only from individuals who meet the accredited investor definition, such as having an annual income above $200,000 or a net worth over $1,000,000 (excluding your primary residence). If you do not meet these requirements, you are not allowed to invest, regardless of your interest or belief in the company's potential. This restriction is designed to protect individuals from the higher risks and complexities associated with private equity.
